Meridian Holdings Earnings Quality Moves to the Centre of the Investment Case

MRDN

Meridian Holdings Inc. (NASDAQ:MRDN) is reaching a point where its operating results may become more important than the acquisition activity that previously defined the company. After a period in which corporate transactions and their associated financial obligations were central to the story, the business has now recorded two consecutive quarters of profitability, creating a clearer basis on which to assess its underlying earnings potential.

The shift is being led by Meridianbet, the company’s core operating segment. Meridianbet is expanding faster than the wider online gambling market, according to the underlying analysis, and that growth is supporting stronger revenue generation and improved operating leverage. The importance of that development lies not simply in higher revenue, but in the potential for a larger proportion of incremental revenue to contribute to earnings as the existing operating structure is used more efficiently.

This represents an important change in the way Meridian Holdings can be assessed. An acquisition-focused company is often evaluated around financing requirements, integration, purchase obligations and the strategic reasoning behind individual transactions. Once the acquired operations begin generating consistent profitability and cash flow, attention can shift towards the quality and sustainability of the earnings produced by the combined business.

Meridian Holdings appears to be moving into that second phase. Two consecutive profitable quarters do not by themselves establish a long-term trend, but they provide evidence that the underlying operation is capable of producing positive earnings. Continued profitability would strengthen the case that the business has moved beyond relying primarily on acquisition activity as its principal source of growth.

The cost structure is also becoming increasingly relevant. Improved operating leverage has been accompanied by margin expansion, while free cash flow has enabled the company to reduce debt. At the same time, interest expense has declined. Together, these factors improve the financial profile because more of the economic benefit generated by the operating business can potentially be retained rather than absorbed by financing costs.

Debt reduction is particularly significant because Meridian Holdings continues to face financial obligations associated with its earlier development. The company has a working capital deficiency and still has pending acquisition payments. These remain material considerations when assessing the durability of the transition towards an earnings-focused business.

The balance between these obligations and the cash generated by operations is therefore central to the next stage. Free cash flow provides a mechanism for addressing debt and other commitments, while stronger margins can create additional financial capacity if the current operating direction continues. The presence of acquisition-related liabilities means the balance sheet cannot be separated from the earnings story, but improving cash generation gives the company a more practical route for managing those obligations.

Meridian Holdings has also undergone a significant corporate change during 2026. On 3 March 2026, the company completed a 1-for-12 reverse stock split and changed its name as part of efforts to move back towards compliance. The action reflects the legacy of the earlier Golden Matrix period and provides context for why the company may still be viewed through the lens of its previous corporate structure.

The more important question now is whether operating results can gradually replace that legacy as the main measure of the business. If Meridianbet continues to expand while operating leverage improves, Meridian Holdings could become increasingly defined by earnings, margins and cash generation rather than by the transactions that assembled the current group.

Valuation provides another element of the case, although it depends on future earnings assumptions. Applying a nine times multiple to estimated 2026 EBITDA produces an indicated value of approximately $22 per share under the valuation framework presented in the source analysis. This is not a guaranteed outcome, and its relevance depends on the company delivering the level of EBITDA assumed in that calculation.

That distinction is important. A valuation based on estimated EBITDA carries execution risk, particularly when the business still has a working capital deficiency and outstanding acquisition payments. The key issue is therefore not the valuation figure alone, but whether Meridian Holdings can continue producing the profitability, free cash flow and margin development required to support the assumptions behind it.

The operating direction provides several areas to monitor. Meridianbet’s expansion relative to its market suggests the core business has momentum, while improved operating leverage indicates that revenue growth is having a greater impact on profitability. Free cash flow and debt reduction add another layer by improving the company’s ability to manage its financial commitments.

At the same time, the remaining balance sheet obligations mean the transition is not complete. Working capital requirements and pending acquisition payments continue to create risk, making cash generation and financial discipline important alongside revenue growth. Sustained progress in these areas would make it easier to judge Meridian Holdings primarily on the economics of its operating business.

The broader significance is that Meridian Holdings is becoming less dependent on acquisition activity to define its prospects. The company now has two consecutive profitable quarters, an expanding core Meridianbet operation, improved operating leverage, margin expansion, free cash flow and reduced debt. Those developments provide a different framework for assessing the business than the one that applied during its acquisition-driven phase.

The next stage will depend on consistency. If earnings and cash generation continue while financial obligations are reduced, the company’s operating performance could increasingly become the central factor determining how Meridian Holdings is valued. The acquisition history remains relevant, but the emerging earnings profile is becoming harder to separate from the wider investment case.
