Firering moves to unlock value from Côte d’Ivoire assets and focus capital on Limeco

Firering Strategic Minerals plc

Firering Strategic Minerals is moving to reduce its exposure to early-stage exploration in Côte d’Ivoire and concentrate more capital and management attention on the Limeco quicklime project in Zambia.

The company has granted Australasian Metals a 90-day exclusive option to acquire the majority of Firering’s interests in the Atex and Alliance lithium-tantalum projects. The deal could deliver total cash consideration of up to A$1.5 million. Firering will receive a non-refundable A$100,000 option fee. If Australasian Metals exercises the option and the transaction completes, a further A$1.4 million would become payable.

The proposed transaction gives Firering a clear route to turn non-core exploration assets into cash while reducing future funding requirements. Proceeds are expected to support general working capital, obligations relating to shareholder bridge loan notes and continued investment in Limeco.

Firering would still retain exposure to Atex. Under the proposed structure, Australasian Metals would acquire a 75% interest in Atex Mining Resources, while Firering would keep a 15% interest in the project on a free-carried basis for an agreed period.

That structure limits Firering’s immediate spending requirements while keeping some participation in future exploration progress. Australasian Metals would fund the relevant project expenditure during the free-carry period, reducing the need for Firering to allocate additional capital to Atex.

The agreement also provides a potential route for Australasian Metals to acquire Firering’s remaining interests for A$5 million. Firering would also receive a 1% revenue royalty, which could later be acquired for a further A$5 million. These payments are conditional and should not be treated as certain, but they provide additional potential value if the projects advance.

The main strategic priority is Limeco. Firering holds a 45% interest in the Zambian operation, which is focused on quicklime production. Quicklime is produced by heating limestone at high temperatures to convert calcium carbonate into calcium oxide. It is a widely used industrial material with applications across sectors including mining and construction.

Firering Strategic Minerals plc (LON:FRG) is an emerging quicklime producer and critical minerals explorer, with operations in Zambia and West Africa.
