Law Debenture faces a clear compliance opportunity ahead of November deadline

The Companies House identity verification deadline on 17 November 2026 is approaching, and millions of directors and other registered individuals still need to complete the process.

Companies House estimates that around six to seven million existing individuals need to complete identity verification. By the end of June, 55% of directors, 50% of LLP members and 42% of Persons with Significant Control had informed Companies House that their identities had been verified.

The rules apply to company directors, PSCs and LLP members. They apply regardless of nationality or country of residence, which makes the process more complicated for businesses with international structures or overseas directors. Each individual must verify their own identity. Once verified, they receive a Companies House personal code that is used in future filings.

Existing directors will need to provide their personal code when their company files its next confirmation statement. Existing PSCs who are not also directors follow a separate timetable linked to their birth month on the register.

Verification can be completed directly through GOV.UK One Login, with a Post Office option available where required. Individuals can also complete the process through an Authorised Corporate Service Provider.

Law Debenture is a registered ACSP. It can provide identity verification across more than 120 jurisdictions, giving it a role in cases involving overseas directors, complex identity records or individuals who cannot complete the standard digital process easily.

Acting as a director without completing the required verification is an offence. Companies House has indicated that enforcement will become more significant once the transition period ends. Possible consequences include filing restrictions, financial penalties, difficulties making appointments or corporate changes and public indications of non-compliance on the register. More serious cases could result in director disqualification or further legal action.
