Hong Kong Tax Portal Creates New Governance Needs for Law Debenture Clients

Hong Kong’s new Business Tax Portal is changing how companies manage tax and business filings, but the implications extend beyond the move to digital administration. For groups operating multiple Hong Kong entities, the new framework places greater emphasis on governance, continuity and control, areas that align closely with Law Debenture’s independent professional services capabilities.

The Inland Revenue Department has introduced the Business Tax Portal, or BTP, for online tax and business filing. While the system provides a more streamlined route for electronic submissions, companies with larger corporate structures must also determine who controls access and how responsibilities are maintained when directors or employees change.

Central to the framework is the Responsible Person, or RP. This individual or qualifying corporate company secretary is responsible for opening the initial BTP Business Account. For a Hong Kong corporation, eligible individuals include a director, an individual company secretary, a liquidator or provisional liquidator, or an authorised representative in the case of a non-Hong Kong company. A corporate company secretary can also perform the role through one of its natural person directors.

Once an account has been established, the RP can appoint BTP Administrators. Each account is limited to five administrators, although there is no equivalent limit on the number of authorised users. Administrators have full access to account services and determine which permissions are provided to other users.

The structure becomes particularly significant for businesses managing numerous Hong Kong entities. Groups can register accounts individually or use a bulk registration process that allows a common director or company secretary to register as many as 500 accounts in a single upload. This can improve administrative efficiency, but it also concentrates responsibility around the individuals responsible for registration and subsequent account governance.

Staff and director turnover therefore represents an operational consideration. If all existing administrators leave or become unable to continue in their roles, the RP must use the Inland Revenue Department’s reappointment process to appoint replacements. The account remains suspended until that process is approved. Where the RP is also a departing director, the potential for disruption becomes more pronounced.

This creates a broader governance requirement spanning tax, finance, legal and company secretarial functions. Establishing the portal itself may be relatively straightforward, but companies must consider whether their access arrangements can withstand personnel changes, director rotations and acquisitions without interrupting filing responsibilities.

Law Debenture identifies the appointment of a professional company secretary as RP as one potential approach. The regulatory framework permits a corporate company secretary to hold the position through its own natural person director. Such an arrangement can provide continuity when directors change, establish a consistent point of oversight across multiple BTP accounts and reduce dependence on the login credentials or continued employment of a particular member of staff.
