Elemental Royalty reshapes portfolio with US$290 million Orion acquisition

Elemental Royalty is repositioning its portfolio around a larger base of producing and near-term precious metals assets through a US$290 million acquisition from Orion Mine Finance, alongside a planned transfer of its generation business to Carlin East. The combined transactions mark a significant change in portfolio composition, funding requirements and corporate structure, with the timing of the acquisition and execution of the proposed divestment becoming important considerations.

The Orion transaction comprises five streams and royalties covering gold, silver and polymetallic exposure across the United States, Guinea, Mexico and New Zealand. Elemental will pay US$200 million in cash and issue 4,289,053 shares to Orion, valued at US$90 million and representing approximately 5.6% of the company’s issued and outstanding shares. The cash component is supported by a commitment to increase Elemental’s revolving credit facility from US$150 million to US$250 million, while the existing US$50 million accordion facility will remain available, subject to lender commitments and customary conditions.

The acquired portfolio includes a 50% silver stream on the Ruby Hill Complex and Granite Creek in Nevada, a 5% gold stream on the Kouroussa mine in Guinea and a 2.5% gross revenue royalty on the La Negra mine in Mexico. These three assets are producing and are expected to provide immediate exposure to additional cash-generating operations. Ruby Hill and Kouroussa are expected to become two of the larger assets within Elemental’s existing portfolio, increasing the concentration of production from established precious metals operations.

The remaining assets provide exposure further along the development cycle. Snowy River in New Zealand carries a 1% gold stream and is positioned towards production, while the Homestake District in South Dakota is covered by a 1% net smelter return royalty.

Elemental expects the economic benefit of the three producing Orion assets to accrue from 1 August 2026, subject to completion. The company has subsequently raised its 2026 gold equivalent ounce guidance to between 19,500 and 22,000 ounces, including approximately 1,500 ounces attributable to the Orion portfolio between August and December. Revenue guidance has been set at US$89.8 million to US$101.1 million based on the company’s stated commodity price assumptions. The guidance is presented on a gross basis, with the Kouroussa stream carrying ongoing cash payments linked to the applicable gold price.

The acquisition is expected to close during the fourth quarter of 2026, although the Snowy River stream could complete as late as the first quarter of 2027 because of additional regulatory requirements in New Zealand.
